1. Introduction

Welcome to SalesDocx. Please read these Terms of Service ("Terms") carefully as they contain important information about your legal rights, remedies, and obligations. By accessing or using SalesDocx, you agree to comply with and be bound by these Terms.

If you do not agree with these Terms, you must not access or use our Service.

2. Definitions

• Service: The SalesDocx web application, accessible at salesdocx.com, which transforms HubSpot CRM data into intelligent, organized content for sales documents and proposals.
• User Account: The personal account created by you to access and use our Service.
• Subscription: A recurring payment plan that grants you access to the Service for a defined period.
• Content Blocks: Discrete sections of AI-generated text created by our Service for specific document purposes.
• HubSpot Data: Information from your HubSpot CRM that you authorize us to access and process.
• Generated Content: Content blocks and other text created by our Service based on your HubSpot data.

3. User Accounts and Registration

3.1 Account Creation

To use SalesDocx, you must create a user account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities that occur under your account

3.2 Eligibility

You must be at least 18 years old and capable of forming a binding contract to create an account. By creating an account, you represent and warrant that:

• You are at least 18 years old
• You have the legal authority to bind yourself or the entity you represent to these Terms
• Your use of the Service will not violate any applicable laws or regulations

3.3 Account Termination

We reserve the right to suspend or terminate your account at our discretion, without notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

You may terminate your account at any time by following the instructions on our website or contacting us at privacy@salesdocx.com.

4. Subscription and Payment Terms

4.1 Subscription Plans

SalesDocx offers various subscription plans as outlined on our pricing page. The features and limitations of each plan are subject to change, and we reserve the right to modify, suspend, or discontinue any aspect of our plans at any time.

4.2 Free Trials

We may offer free trials to new users. At the end of the free trial period, you will be automatically enrolled in the selected subscription plan unless you cancel before the trial ends.

4.3 Payments and Billing

• All payments are processed securely through Dodo Payments or other payment processors.
• Subscription fees are billed in advance on a recurring basis depending on your selected plan.
• You authorize us to charge your payment method for all fees incurred.
• All fees are exclusive of taxes, which you are responsible for paying.
• Fees are non-refundable except as required by law or as explicitly stated in these Terms.

4.4 Subscription Cancellation

You may cancel your subscription at any time. Upon cancellation:

• You will continue to have access to the Service until the end of your current billing period.
• No refunds will be provided for partial subscription periods.
• You will lose access to the Service and any generated content at the end of the billing period.

5. Service Usage and Restrictions

5.1 Authorized Use

Subject to these Terms and your subscription plan, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Service
• Generate content blocks based on your HubSpot data
• Copy and use the generated content for your legitimate business purposes

5.2 Usage Restrictions

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Violate or infringe the rights of others, including intellectual property rights
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorized access to the Service or related systems
• Use the Service to transmit harmful code, malware, or data that may damage or detrimentally interfere with systems
• Exceed usage limits established for your subscription plan
• Sell, resell, license, sublicense, distribute, or otherwise commercially exploit the Service
• Use automated methods or scripts to access or interact with the Service
• Use the Service for competitive analysis or to build a competing product
• Modify, decompile, reverse engineer, or disassemble the Service

5.3 Content Usage Rights

You retain all rights to your HubSpot data. For content generated by our Service:

• You own the right to use the generated content for your legitimate business purposes
• We retain all intellectual property rights in the Service, including the AI systems that generate content
• You may not claim ownership of our proprietary technology, processes, or systems

6. HubSpot Integration and Data Processing

6.1 HubSpot Authorization

You authorize us to access your HubSpot account data via OAuth to provide the Service. This authorization includes:

• Read-only access to deals, contacts, companies, and notes
• The ability to retrieve and process your HubSpot data to generate content

6.2 Data Processing

We process your HubSpot data solely to:

• Generate content blocks as requested by you
• Provide, maintain, and improve the Service
• Diagnose and address technical issues

We do not:

• Permanently store your HubSpot CRM data
• Use your HubSpot data to train our AI models
• Share your HubSpot data with third parties except as necessary to provide the Service

6.3 Your Data Responsibilities

You are responsible for:

• Having the necessary rights and permissions to share your HubSpot data with us
• Ensuring the accuracy and legality of your HubSpot data
• Compliance with all applicable laws regarding your data and its processing

7. Generated Content

7.1 Content Quality and Usage

The quality and accuracy of generated content depends significantly on the data available in your HubSpot account. We do not guarantee that:

• Generated content will be error-free or suitable for your specific needs
• Generated content will be free from potential factual, grammatical, or contextual errors
• The Service will generate content that meets any particular quality standard

7.2 Content Review Responsibility

You are solely responsible for reviewing, editing, and approving any content generated by the Service before using it. You should not use generated content without appropriate review.

7.3 Prohibited Content Uses

You agree not to use our Service to generate content that:

• Is false, fraudulent, deceptive, or misleading
• Infringes on third-party intellectual property rights
• Violates any applicable laws or regulations
• Is defamatory, obscene, harmful, or discriminatory
• Makes unauthorized claims about products or services

8. Intellectual Property Rights

10. Third-Party Services and Links

The Service integrates with HubSpot and other third-party services. Your use of such third-party services is governed by their respective terms of service and privacy policies. We are not responsible for the practices of any third-party services.

10.2 OpenAI Services

We utilize OpenAI's services to provide AI-powered content generation. Your use of our Service constitutes acceptance of OpenAI's applicable terms and policies. We do not control and are not responsible for how OpenAI may process your data.

11. Disclaimers and Limitations of Liability

11.1 Service Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

WE DO NOT WARRANT THAT: (A) THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; (C) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS.

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES, OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA, OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE SERVICE, WITH THE DELAY OR INABILITY TO USE THE SERVICE, THE PROVISION OF OR FAILURE TO PROVIDE THE SERVICE, OR FOR ANY CONTENT OBTAINED THROUGH THE SERVICE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.3 Cap on Liability

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY DAMAGES ARISING FROM OR RELATED TO THESE TERMS (FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION) WILL AT ALL TIMES BE LIMITED TO THE GREATER OF: (A) FIFTY DOLLARS ($50) OR (B) AMOUNTS YOU HAVE PAID US IN THE PRIOR 12 MONTHS.

11.4 Basis of the Bargain

THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN YOU AND US.

12. Indemnification

You agree to defend, indemnify, and hold harmless SalesDocx, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including without limitation any copyright, property, or privacy right
• Any content you submit, post, or transmit through the Service

13. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will provide notice through the Service or by other means. Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

14.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The arbitration shall take place in Pune, India, in the English language, and the arbitral decision may be enforced in any court.

14.3 Exceptions to Arbitration

Notwithstanding the foregoing, we may seek injunctive or other equitable relief to protect our intellectual property rights in any court of competent jurisdiction.

15. General Provisions

15.1 Relationship of the Parties

Nothing in these Terms creates any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and us.

15.2 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

15.3 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

15.4 Assignment

You may not assign or transfer these Terms or your rights and obligations under these Terms without our prior written consent. We may assign these Terms or any rights or obligations hereunder without your consent.

15.5 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements and understandings.
